Trade Terms and Conditions

1. This Agreement is between the Customer, and D4H Limited t/a D4H Creative (the Company) whose registered office is Net House, 83 London Road, Northwich, Cheshire. This Agreement binds the customer, to complete the Order and pay promptly the amount outstanding.

2. 2.1 The Customer shall pay to the Company either by cheque, credit card, cash, standing order or bankers order payments, the amount shown in and agreed on in the Order schedule.

3. 3.1 The Agreement shall commence from the date of acceptance of this order schedule by the company (which date shall be notified by the Company to the customer). Should payment be made by monthly standing order then the term of payments shall be equal to the length of the term of the Agreement.

4. 4.1 Additions to the specifications shall incur additional costs not included in this agreement.

4.2 Future changes to the specifications shall not form part of this Agreement.

5. 5.1 The Company shall not be liable for any delay in performing or any failure its obligation under this Agreement if the delay or failure results from events or circumstances outside its reasonable control. Furthermore, software is by its very nature dynamic and whilst the Company will use its best endeavours to produce the work in good time, no warranties can be given.

6. 6.1 The Company shall not be liable for any claims arising out of the work completed. Nor shall it be liable for any infringement of copyright arising from the materials used to complete the Customers` publication

7. 7.1 The Customer acknowledges that in entering this Agreement he has placed no reliance on any representation or warranty given (whether oral or in writing) by the Company or its agents prior to the date of the Agreement.

7.2 This Agreement contains the whole agreement between the parties relating to the subject matter of this Agreement and may only be varied by Agreement in writing between the parties specifically referring to the provision of this Agreement.

7.3 In this Agreement references to the singular include the plural and vice versa and words importing one gender shall be constructed as importing to the other gender.

7.4 The headings in this Agreement are for convenience only and are not intended to have any legal effect.

7.5 The construction validity and performance of this Agreement shall be governed in all respects by English law.
